EULA

This End-User License Agreement ("EULA") is a legal agreement between you (either an individual or a single entity) and Desi.Guide ("Company") for the use of the Desi.Guide software, website, and services ("Services"). By accessing, installing, or otherwise using the Services, you agree to be bound by the terms and conditions of this agreement. If you do not agree to these terms and conditions, you must not access, install, or use the Services.

1. License Grant:

• Subject to the terms of this EULA, the Company grants you a limited, non-exclusive, non-transferable license to use the Services solely for your personal or internal business purposes.

2. Restrictions:

• You may not: a) Modify, adapt, translate, reverse engineer, decompile, or disassemble the Services, in whole or in part. b) Sell, sublicense, rent, lease, distribute, or otherwise transfer the Services or any portion thereof. c) Remove or alter any proprietary notices, labels, or marks from the Services. d) Use the Services in any manner that violates applicable laws or regulations.

3. Ownership:

• The Services are licensed, not sold. The Company retains all right, title, and interest in and to the Services, including all intellectual property rights. You acknowledge that you do not acquire any ownership rights to the Services.

4. User Accounts:

• To access certain features of the Services, you may be required to create a user account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

5. User Content:

• You retain ownership of any content, information, or materials that you upload, submit, or otherwise provide to the Services ("User Content"). By providing User Content, you grant the Company a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, distribute, and display such User Content for the purpose of providing and improving the Services.

6. Privacy Policy:

7. Updates and Support:

• This EULA is effective until terminated. Your rights under this EULA will terminate automatically without notice from the Company if you fail to comply with any term(s) herein. Upon termination, you must cease all use of the Services and destroy all copies of the Services in your possession or control.

9. Disclaimer of Warranty:

• THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Limitation of Liability:

• IN NO EVENT SHALL THE COMPANY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE USE OR PERFORMANCE OF THE SERVICES, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR ANY OTHER COMMERCIAL DAMAGES OR LOSSES, EVEN IF ADVISED OF THE POSSIBILITY THEREOF.
